Making the Market
We define the market as a value-added representative and set the parameters for the market in tightly managed, exclusive processes. We fully engage with clients to understand their objectives, conduct extensive due diligence, legal review, and financial analysis on the front end, building a solid foundation for ensuring that if they go to market, they obtain an optimal outcome.
Mensura has ongoing relationships with the most reputable institutional investors as well as industry participants, providing us with deep and timely knowledge of the market. Furthermore, our extensive relationships enable us to develop a thoughtful and tailored list of potential buyers/investors and glean valuable market insights even before bringing a transaction to market.
Controlling processes & competitive dynamic
Mensura is skilled at conducting tightly controlled and coordinated processes, while maintaining the flexibility to shift tactics when appropriate. As such, we maintain a competitive dynamic at all stages of the transaction, while quickly or simultaneously managing unforeseen events and changing conditions.
Establishing value in structure
Value is gained or lost in the terms and conditions of a transaction. We are your advocate at every juncture, from market preparation, to market engagement, to negotiation, to LOI, to final agreement, assuring that closing and post-transaction traps are not lying in wait.
Managing Risk: Due diligence oversight
Investors will conduct two levels of diligence.
Operational due diligence is conducted until the parties reach a Letter of Intent ("LOI"), which sets the general terms for reaching a final agreement and close.
Confirmatory due diligence is to assure that the conclusions from operational diligence are valid. Top professional firms review quality of earnings reports, working capital needs, legal risks, tax exposure, environmental concerns, property valuations, undisclosed liens and other matters that can create price reductions. For an unprepared seller, confirmatory due diligence represents an unnecessary risk to the transaction.
WE NEVER LEAVE DUE DILIGENCE IN THE SOLE DOMAIN OF BUYERS AND INVESTORS. WE PREPARE IN ADVANCE AND REMAIN ALERT TO ADDRESSING TRANSACTIONAL UNCERTAINTY (RISK).
