Managing Risk: Due diligence oversight
Investors will conduct two levels of diligence.
Operational due diligence is conducted until the parties reach a Letter of Intent ("LOI"), which sets the general terms for reaching a final agreement and close.
Confirmatory due diligence is to assure that the conclusions from operational diligence are valid. Top professional firms review quality of earnings reports, working capital needs, legal risks, tax exposure, environmental concerns, property valuations, undisclosed liens and other matters that can create price reductions. For an unprepared seller, confirmatory due diligence represents an unnecessary risk to the transaction.
